MEMBERSHIP AGREEMENT

THIS SOAR HIGHER PROGRAM MEMBERSHIP AGREEMENT (this “Agreement”), effective as of the date last signed below (the “Effective Date”), is by and between the undersigned (the “Member”) and Stratos Jet Charters, Inc., a Florida corporation (“Stratos”). Each of the Member and Stratos may be referred to herein as a “Party” and collectively as the “Parties.”

WHEREAS, Stratos provides on-demand jet charter services (the “Charter Services”), including a membership program with guaranteed fixed rates and guaranteed availability to members of the program (the “Soar Higher Program”).

WHEREAS, the Member wishes to participate in and receive the benefits of the Soar Higher Program, subject to the terms and conditions set forth herein.

NOW THEREFORE, the Parties agree as follows:

  1. Becoming a Soar Higher Program Member.

To become a Member in the Soar Higher Program, the Member, upon execution of this Agreement, shall pay to Stratos the Membership Fee. Stratos shall create a Soar Higher Program Account in the name of Member. The Member must designate to Stratos in writing any other person who is authorized to use the Member’s Soar Higher Program Account. Creation of an additional user login on the Stratos online jet charter booking and reservation platform will be considered such a written request. For as long as a Member maintains his or her account in good standing in accordance with this Agreement, Stratos will provide the Member with all of the benefits of the Soar Higher Program pursuant to the terms and conditions set forth herein.

  1. Booking Through Stratos.
  1. As part of the Charter Services, Stratos mediates between the Member, on the one hand, seeking to obtain air transportation services and air carriers, on the other hand, providing air transportation services (“Air Carriers”). Those certain services requested by the Member, which are to be completed by the Air Carriers, are hereinafter referred to as the “Air Carrier Services.” STRATOS, THROUGH THE CHARTER SERVICES, OFFERS INFORMATION AND A METHOD TO OBTAIN AIR CARRIER SERVICES, DOES NOT AND WILL NOT PROVIDE SUCH AIR CARRIER SERVICES ITSELF, AND EXPRESSLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR ANY AIR CARRIER SERVICES PROVIDED TO THE MEMBER, INCLUDING, BUT NOT LIMITED TO, A WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY LAW, REGULATION, OR CODE WITH RESPECT TO THE PROVISION OF SUCH AIR CARRIER SERVICES.

  2. To book a flight, the Member may request a flight reservation by contacting a Client Management Consultant by contacting Stratos by phone, email, or through the Stratos online jet charter booking and reservation platform, and shall include the following information in the request: (1) proposed flight segments, i.e. each location at which the Member requests a landing; (2) proposed date of departure for each segment and, for round-trip flights, proposed date of return; and (3) proposed departure times for each segment and, for round-trip flights, return time. Members should also indicate at the time of request whether any pets will be accompanying the Member on the flight. The following requirements apply:

  1. Peak Travel Days. Requests for Air Carrier Services for Peak Travel Days must be submitted by the Member at least seven (7) days prior to the date of departure.  The “Peak Travel Days” are identified in Schedule A attached hereto. For any flights booked for a Peak Travel Day, there is a 5% surcharge above the Member Booking Fee or Flight Fees for Standard Travel Days.

  2. Standard Travel Days. Requests for Air Carrier Services for Standard Travel Days must be submitted by the Member at least 72 hours prior to the scheduled time of departure.  For purposes of this Agreement, “Standard Travel Days” means all days other than Peak Travel Days.

  3. Canada, Bermuda, the Caribbean, and Mexico. Requests for Air Carrier Services for travel to or from Canada, Bermuda, the Caribbean, and Mexico must be submitted by the Member at least five (5) days prior to the scheduled departure time on Standard Travel Days, and at least seven (7) days prior to the scheduled departure time on Peak Travel Days.

  4. Other Destinations. Requests for Air Carrier Services for travel to or from Other Destinations must be submitted by the Member in accordance with Schedule B attached hereto.

  1. Upon making a request for Air Carrier Services, Stratos will provide the Member with a proposed aircraft charter itinerary and price quote for up to five (5) aircraft categories (a “Quote”).

  2. Upon receiving the Quote, the Member shall select the desired aircraft category and payment method and return the signed Quote to Stratos.

  3. A Quote is considered accepted when (i) signed (or otherwise agreed to within Stratos’ website or app) and returned by the Member no less than 72 hours prior to the requested time of departure (or seven (7) days for Peak Travel Days) and (ii) payment is made by the Member to Stratos to hold the flight (such a booked flight is referred to herein as a “Flight”). Once a Quote is accepted, the cancellation provisions and applicable charges specified in Section 4(c) below will apply.

  4. By sending a signed Quote for Air Carrier Services to Stratos, the Member acknowledges and agrees that Stratos will act only as an air charter broker and your agent, and is not a direct air carrier or the owner or operator of the aircraft. The aircraft is owned and operated, or managed on behalf the owner, by an Air Carrier properly licensed under regulations promulgated by the Federal Aviation Administration and Department of Transportation. The Air Carrier has sole responsibility for and control of all aspects of the aircraft and the itinerary, including aircraft availability, pricing, flight schedules, flight conditions, safety, crew, and the commencement, operation, and termination of all flights.

  1. Fees.
  1. Membership Fee.  As consideration for participating in the Program, the Member shall pay an annual subscription fee (the “Membership Fee”) as set forth on the attached Membership Details Form, payable on the Effective Date and the commencement of each Renewal Membership Term. Stratos may increase the Membership Fee applicable to any Renewal Membership Term by written notice to the Member no later than 15 days prior to the start of any such Renewal Membership Term.

  1. Flight Fee.

  1. As a member of the Soar Higher Program, the Member enjoys guaranteed fixed hourly rates per aircraft category as set forth on the attached Membership Details Form (the “Member Booking Rate”). For travel to and from Other Destinations (as defined in Schedule B), the Member Booking Rate shall not apply. Stratos will provide customized quotations on a trip-by-trip basis for travel to and from Other Destinations.

  2. The Member Booking Rate is applied to billable flight time (rounded up to the nearest 1/10th of an hour) plus twelve (12) minutes of aircraft taxi time per flight segment, subject to billable daily flight time minimums (the “Billable Flight Time”).

  1. Hours for Domestic Flights. For all Domestic Flights, each 1 hour of actual flight time will be charged to the Member as 1 hour of Billable Flight Time.

  2. Hours for Canada, Bermuda, the Caribbean and Mexico. For all travel to or from qualifying destinations in Canada, Bermuda, the Caribbean, and Mexico, each 1 hour of actual flight time will be charged to the Member as 1.1 hours of Billable Flight Time.

  1. Upon accepting a Quote, Stratos will charge the Member a booking and reservation fee computed by multiplying the applicable Member Booking Rate to the estimated Billable Flight Time (the “Flight Fee”), payable by the Member in accordance with the terms and conditions of the Quote. Upon the completion of the Flight, Stratos will invoice the Member for any additional charges used by the Member as set forth in Section 6 or any applicable cleaning fees in accordance with Stratos’ standard terms and conditions.

  2. All Flights are subject to the federal excise tax the in effect, which will be applied to the invoice delivered to the Member upon the completion of the Flight.

  1. Soar Higher Program Benefits.

As a member of the Soar Higher Program, the Member will receive the following benefits:

  1. Guaranteed availability of a Quote that is accepted pursuant to Section 2(e) no less than 72 hours prior to desired departure (or seven (7) days for Peak Travel Days).  If Stratos is unable to secure a flight in accordance with the accepted Quote, Stratos shall return all funds relating to that Flight and at the Member’s election, made in writing, a reimbursement of the pro rata remainder of the Member’s Membership Fee rounded to the nearest month remaining on the Membership.

  2. A guaranteed Member Booking Rate per aircraft category as set forth on the attached Membership Details Form. The guaranteed Booking Rates are firm for the Initial Membership Term. The Booking Rates may be revised by Stratos by written notice to the Member no later than 15 days prior to the start of any Renewal Membership Term and once revised will remain firm for such Renewal Membership Term.

  3. The Member may cancel or change any reserved Flights (a) no later than 72 hours prior to departure with no liability (or seven (7) days for Peak Travel Days); or (b) between 72 hours (or seven (7) days for Peak Travel Days) and 24 hours prior to departure for 85% of the Flight Fee. Members cancelling or changing a Flight within 24 hours of scheduled departure will be charged 100% of the Flight Fee.

  4. Maximum Peak Travel Day surcharges of 5% of the Flight Fee.

  5. Stratos will not charge the Member any fuel surcharges, repositioning, pet, de-icing, or hangar fees for any Flights. Cleaning fees may still be applied if the Member fails to treat the aircraft with reasonable care, such failure to include any soiling within the aircraft by pets.

  6. In the event of a mechanical delay, Stratos will provide the member with a reasonable replacement booking within 24 hours of the departure time set forth in the accepted Quote. In such an event, the Member may elect reimbursement of the Flight Fee in lieu of such a replacement booking.

  1. Booking Limitations, Departures, and Other Terms.

The following additional terms and conditions apply:

  1. The Member may book only one aircraft for a given date and time.

  2. The minimum daily flight time requirement is two (2) flight hours, inclusive of taxi time.

  3. Departure and arrival airports must have runways of at least five thousand five hundred (5,500) feet in length and otherwise be deemed safe and operational by the Air Carrier.

  4. The maximum number of passengers and baggage allowed for each flight category is set forth on the Membership Details Form. Members requiring baggage in excess of the allowed amount must notify Stratos at the time of booking, and Stratos will make commercially reasonable efforts to arrange an alternative method of transporting the luggage to the requested destination, which shall be charged separately at the rates indicated in the Membership Details Form.

  5. Standard catering is included on all flights, which will be arranged by Stratos at the Member’s request at no additional charge.  Premium or non-standard catering must be ordered at time of booking, subject to geographic availability, and will be charged separately at the rates indicated in the Membership Details Form.

  6. Any pets included in the flight must be specified at the time of booking in order to enable Stratos to make arrangements for pets; otherwise Stratos will not be able to guarantee that the pets will be able to travel on the Flight.

  1. Smoking is not permitted on any aircraft arranged by Stratos.

  1. No passengers may engage in any activities or allow any substances or articles aboard the aircraft that may result in or cause seizure or forfeiture of the aircraft or unsafe operation of the aircraft.

  2. For flights on aircraft with capacity for 12 or more passengers, flight attendant services are included in the Flight Fee. For flights on aircraft with capacity for fewer than 12 passengers, charges for flight attendant services will be invoiced at the applicable flight attendant’s rates.

  3. The Member and all other passengers must be able to board and disembark the aircraft under their own control. Any assistance for the Member or any other passengers will be provided at the Member’s own cost and expense.

  4. For all Flights, Members and all other passengers must be at the point of departure and ready for boarding with all necessary documentation at least thirty (30) minutes prior to the time of departure specified in the Quote. All departure times stated in the Quote are actual “wheels-up” times. The arrival of the Member at the point of departure after the departure time stated in the Quote shall constitute a day-of-departure cancellation, and the cancellation provisions set forth herein above shall apply.

  5. Notwithstanding the above, to accommodate delays in the Member’s schedule, Stratos will arrange for the Air Carrier to hold aircraft for confirmed flights up to thirty (30) minutes past the time of departure specified in the Quote. Upon the expiration of the thirty (30) minute waiting period, the aircraft may depart and the Member will be charged the full Flight Fee.

  6. All Quotes that require departure and landing slots mandated by the FAA are subject to availability. Stratos will use commercially reasonable efforts to work with Air Carriers to obtain a departure or landing slot at the origin or destination point of the Member’s choice. Stratos does not guarantee such accommodations, and may have to arrange for a flight using an alternate airport or a different flight time based on slot availability.

  7. The Member and any guests may be required to have specific identification and/or documentation when traveling. For identification and documentation information, please refer to Schedule C “Required Travel Identification and Documents”.

  8. Blackout Dates: Members may not book flights through this Membership Agreement (or the terms available to Members pursuant to this Membership Agreement) on any flights (or parts of a round-trip) that travel on the Sunday immediately prior to Thanksgiving – the Sunday immediately following Thanksgiving or December 18-January 7 (the “Blackout Dates”). Members are entitled to book Charter Services through Stratos on the Blackout Dates, but the Member’s benefits outlined herein are not applicable to such flights.  

  1. Additional Charges.
  1. Stratos reserves the right to charge Member for damage to aircraft or for excessive cleaning of aircraft.

  2. Additional charges may be incurred for all flights other than Domestic Flights, including, without limitation, navigation charges, positioning charges, landing charges, overnight charges, segment charges, miscellaneous taxes and various foreign fees. The specific types and the amounts of additional charges associated with flights other than Domestic Flights are subject to change from time to time.  For purposes of this Agreement, “Domestic Flight” means a flight that originates and terminates within the continental United States and does not include any travel outside a 200 nautical mile radius of the continental United States.

  1. Additional Services.

Stratos may from time to time provide other customers of Stratos with promotional offers and discounts that may result in different amounts charged for the same or similar Charter Services or Program benefits obtained hereunder, and the Member agrees that such promotional offers and discounts, unless also made available to the Member, shall have no bearing on your participation in the Program or the Booking Fees applied to the Member.

  1. Term and Termination.
  1. This Agreement will be effective on the Effective Date; provided that Stratos has no obligations to provide you with the benefits of the Program until the date on which payment of the Membership Fee has been received by Stratos.  The Agreement will remain in effect from the Effective Date through the one-year anniversary thereof (the “Initial Membership Term”) and will renew for additional successive one-year terms (each, a “Renewal Membership Term” and together with the Initial Membership Term, the “Membership Term”), subject to the payment by the Member of the Membership Fee payable for each Renewal Membership Term as set forth in Section 3(a).

  2. The Member may terminate this Agreement at any time and for any reason upon written notice to Stratos.

  3. Stratos may withhold Charter Services or immediately terminate this Agreement: (i) upon breach of this Agreement or any Quote by the Member; (ii) if any outstanding fees are still due after Stratos provide notice thereof to the Member; (iii) if the Member fails to comply with the terms and conditions of a Quote or any other policies or instructions provided by Stratos or applicable to the Member; or (iv) at any other time, when Stratos, in its sole discretion, sees fit to do so.

  4. Upon termination of this Agreement by the Member pursuant to Section 8(b) or by Stratos pursuant to Section 8(c)(i), (ii), or (iii), the Member will not be entitled to reimbursement of any Membership Fee.  Upon termination of this Agreement by Stratos pursuant to Section 8(c)(iv), Stratos will reimburse the Member for a portion of the Membership Fee prorated for the remaining months of the then-current Membership Term. Upon termination of this Agreement for any reason by either Party, the Member will remain liable for past due amounts, and Stratos may exercise its rights to collect due payment, despite termination or expiration of this Agreement.

  5. Stratos may honor or terminate any accepted Quote in accordance with the terms and conditions thereof, regardless whether this Agreement terminates or expires prior to the time of departure set forth in any such Quote, and the Member will be liable for any Charter Services provided under any Quote in accordance with the terms and conditions thereof, regardless whether this Agreement terminates or expires prior to the time of departure set forth in any such Quote.

  1. Limitation of Liability.
  1. STRATOS IS IN NO EVENT RESPONSIBLE OR LIABLE TO THE MEMBER OR TO ANY THIRD PARTY, WHETHER UNDER CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, INDEMNITY, OR OTHER THEORY, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE, OR BUSINESS, COST OF SUBSTITUTE PROCUREMENT, ARISING IN WHOLE OR IN PART FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR ANY PORTION THEREOF, EVEN IF STRATOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, STRATOS’S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL BE LIMITED TO FIVE THOUSAND US DOLLARS.

  2. California Residents. If you are now, or at any time during your membership in the Program become, a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

  3. No claim shall be asserted against Stratos unless the breach, injury, loss, or damage giving rise to the claim occurs or is sustained and no suit or action or arbitration proceeding thereon shall be instituted or maintained unless it is initiated within one (1) year after the date the cause of action occurs.

  4. The limitations of liability set forth in this Section shall prevail over any conflicting or inconsistent provisions contained in any of the documents comprising this Agreement except to the extent such conflicting or inconsistent provisions contain lower limits and/or greater restrictions.

  1. If the Quote involves an ultimate destination or stop in a country other than the country of departure, the Warsaw Convention may be applicable, and the Warsaw Convention governs and in most cases limits the liability of the Air Carrier for death or personal injury and for loss of or damage to baggage.

  1. No Warranties.

Stratos represents that it is a corporation organized under the laws of Florida and that it has the limited liability company authority to enter into these terms and conditions. STRATOS MAKES NO OTHER REPRESENTATIONS OR WARRANTIES OF ANY KIND AS TO ANY MATTER ARISING OUT OF THESE TERMS AND CONDITIONS OR THE SERVICES PROVIDED TO MEMBER OR ANY GUEST OF MEMBER; STRATOS HEREBY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE IN TRADE.

  1. Governing Law

This Agreement is governed by the law of the State of Florida, without regard to any conflict of law rules that would result in the application of any other law other than the law of the State of Florida.

  1. Dispute Resolution.
  1. All disputes arising in connection with this Agreement will be settled, if possible, by negotiation between the parties. If settlement cannot be reached by negotiation within 30 days after either party first gives notice of a dispute, then the dispute will be settled by final and binding arbitration pursuant to this Section 12.

  2. The Member and Stratos agree that the Member may bring claims against Stratos pursuant to this Agreement and only on an individual basis, and not on a class, collective, or representative basis on behalf of others. The Member and Stratos further agree that the Member will not join any purported class, collective, or representative action brought by others on behalf of the Member. Unless the Member and Stratos otherwise agree, the arbitrator appointed to decide disputes may not consolidate or join more than one person’s or party’s claims against Stratos and may not otherwise preside over any form. IMPORTANT: The Member’s agreement to bring claims against Stratos in an individual basis and through arbitration, rather than through a court or trial by jury, is binding unless the Member opts out of this arbitration provision in accordance with the Agreement. It is the intention of the Member and Stratos that the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and the AAA’s Consumer Arbitration Rules (the “Rules”) apply to any dispute arising out of this Agreement (including but not limited to their construction, interpretation, enforceability, or termination) or the Member’s relationship with Stratos, or any dispute arising out of the Member’s relationship with a Carrier through Stratos’ provision of Charter Services in which the Member or the Carrier alleges Stratos is a party (each a “Dispute”). It is the intent of the Parties that the FAA and the Rules shall preempt all state laws to the fullest extent permitted by law. If the FAA and the Rules are found to not apply to any Dispute, then that Dispute shall be resolved under the Law of the State of Florida as set forth in Section 11.

  3. In the event that Section 12(b) is found not to apply to the Member or to a particular claim or dispute (except for small-claims court actions), the Member agrees that any claim or dispute that has arisen or may arise between the Member and Stratos must be resolved exclusively by a state or federal court located in Orange County, Florida. The Member and Stratos agree to submit to the personal jurisdiction of the courts located within the State of Florida for the purpose of litigating all such claims or disputes.

  4. Participation in the Program is not authorized in any jurisdiction that does not give effect to all provisions of this Agreement (including without limitation, this Section). The Member understands that, in return for agreement to this provision, Stratos is able to offer participation in the Program at the terms set forth in this Agreement, and the Member’s assent to this provision is an indispensable consideration to this Agreement. The Member also acknowledges and understands that this provision governs with respect to any dispute with Stratos, its officers, directors, employees, agents or affiliates, arising out of or relating to the Member’s participation in the Program or arising from this Agreement.

  1. Electronic Signatures

This Agreement may be executed in one or more counterparts and using electronic signatures (e.g., DocuSign), in-person signatures, or by otherwise agreeing to the terms and conditions on Stratos’ website or app, each of which shall be deemed to be an original signature and copy of this Agreement and all of which, when taken together with payment of the Membership Fee, shall be deemed to constitute an agreement to the terms and conditions stated herein.  Signatures of the parties by electronic means (e.g., DocuSign), signatures transmitted by facsimile or by electronic mail in portable document format (PDF), or by otherwise agreeing to the terms and conditions on Stratos’ website or app shall be deemed to be their original signatures for all purposes.  This Agreement and any signed agreement or instrument entered into in connection with this Agreement, and any amendments hereto or thereto, shall be treated in all manners and respects as an original agreement or instrument and shall be considered to have the same binding legal effect as if it were the original signed version thereof delivered in person.  At the request of any party hereto or to any such agreement or instrument, each other party hereto or thereto shall re-execute original forms thereof and deliver them (by means other than electronic delivery) to all other parties.

  1. Privacy of Member Data.

Stratos takes all appropriate measures to maintain data regarding its Members and their guests as confidential. All flights flown hereunder will be flown pursuant to FAR Part 135, which requires disclosure of the name of all persons on a flight to the Air Carrier providing the flight. Additionally, Stratos may be required to furnish Member data, such as name and date of birth, or passport information, to comply with national and international security requirements or governing bodies. It may also be necessary for us to provide names of persons on a flight to third parties providing services related to a Flight.

  1. Terms Subject to Change.

All terms and conditions contained herein, with the exception of the Member Booking Rates for Domestic Flights, and Flights to Canada, Bermuda, the Caribbean and Mexico, and the Soar Higher Program Benefits set forth in Section 4 are subject to change upon thirty (30) days notice from Stratos to the Member. Changes to the terms and conditions will be posted to the Member’s section of www.Stratosjets.com. Members will also receive an e-mail to the current e-mail address on file alerting them to any substantial changes to the terms and conditions.

  1. Reselling Stratos Services.

Member shall not resell any services provided by Stratos, or those of its affiliates and partners, without the express written consent of an authorized representative of Stratos. The Member may not act as an agent, use Stratos’s logo, trademarks or service marks, or those of its affiliates and partners, unless the Member has entered into a written agreement with Stratos signed by an authorized representative of Stratos and which expressly permits Member to act in such capacity and/or to use such logos, trademarks or service-marks.

  1. Miscellaneous.

Program services can only be provided to the Member and the Member’s invited guests; Stratos does not engage in the formation of groups for transportation or in connection with “Public Charters” as defined in 14 C.F.R. 380. If any provision of this Agreement is declared by an arbitrator or a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full effect and enforceable. This Agreement together with the exhibits, schedules and attachments, and agreements referenced herein and incorporated herein by reference constitute the entire agreement between the parties concerning its subject matter and supersedes any prior or Contemporaneous agreements, understandings or proposals. Paragraph headings are for convenience of reference only and shall not affect or be utilized in construing or interpreting these terms and conditions. No provision of, right, power or privilege under this Agreement shall be deemed to have been waived by any act, delay, omission or acquiescence on the part of any party, its agents or employees, but only by an instrument in writing signed by an authorized representative of each party. No waiver by any party of any breach or default of any provision of this Agreement by the other party shall be effective as to any other breach or default.

Other Destinations

Many international and other unique destinations (including East Hampton Airport) require significant advance notification due to the acquisition of permits and required documentation. Stratos requests that a Member provide as much advance notification as possible when booking travel for Other Destinations.

        All trips will be quoted in advance on an individual basis and cannot be guaranteed.

        International overnight charges for crew will be included in the cost.

        Any additional international airport fees will be included in the cost.

      Any expenses incurred for overflight/landing permits will be the responsibility of the Member.

        Cancellation charges will be arranged on an individual basis.

      Other terms and conditions may apply, and Stratos will inform the Member of such terms and conditions at time of flight confirmation.

Required Travel Identification and Documents

The below are guidelines provided to the Member for the Member’s convenience.  Member should consult the appropriate government agency for specific requirements.

Identification United States

If you are older than 18 and flying domestically, all Air Carriers are required by the Aviation and Transportation Security Act (ATSA) to use government-issued identification to confirm the identity of each passenger prior to each flight. You must present:

        One form of photo identification issued by local, state, or federal government agency (e.g. a passport, driver’s license or military ID).

   When traveling domestically with a minor, he or she is not required to have photo identification.

Identification International

When traveling internationally, all passengers — including children and babies — are required to have a valid passport. Some countries, including the United States, may require visas or further documentation depending upon specific laws and the passenger’s nationality/country of residence.

Minors Traveling Internationally

Minors traveling internationally without both custodial parents will require a signed and notarized letter authorizing the travel of the minor from the absent custodial parent(s). The written consent should expressly state the flight itinerary and the absentee custodial parent’s signature should expressly permit the minor child/children to fly to the applicable destination for the applicable time period. For purposes of international travel, minors are defined as those under the age of 18 years old on the date of the flight and the above requirement applies regardless of the passenger’s nationality and the countries visited. In cases of sole custody, legal proof of sole guardianship is required. Stratos reserves the right to refuse to complete a trip without proper documentation.

For travel outside of the United States that includes a child traveling alone, with only one parent or with someone other than their parents, Stratos requires that all Members have the following documentation available, regardless of citizenship:

        A notarized authorization from the absent custodial parent(s) or legal guardian(s)

        A child’s passport

     Contact names and phone number for each parent not traveling with a child for that particular travel day

     Written documented showing chain of custody and photo identification for the adult picking up a child at destination
